The Electric Vehicle Giant Investors to Cast Their Ballots on Colossal $1 Trillion Compensation Plan for CEO the Tech Mogul

Tesla shareholders convened this Thursday to determine on a substantial remuneration plan for Chief Executive Elon Musk estimated at close to $1 trillion. If approved, this deal would demonstrate shareholder trust that the tech magnate can lead the vehicle manufacturer into an era shaped by machine learning and automation. Should it fail, Tesla could confront the loss of a visionary leader who previously established the corporation synonymous with zero-emission cars.

Historic Goals and Company Valuation

If the CEO meets the formidable targets detailed in the pay package presented at Tesla's shareholder gathering, he could be crowned the first-ever trillionaire. To accomplish this, he must guide Tesla to a monumental $8.5 trillion in market value, which is 800% of its current valuation. Moreover, he will be tasked to launch numerous self-driving cars and bipedal machines, while upholding the financial performance in the hundreds of billions in the upcoming decade.

Reward System

The key aims of the remuneration structure, divided into a dozen phases, delineate a roadmap for Tesla to attain its massive valuation. If successful, Musk would be able to cash in an additional 12% of the corporation's shares. To qualify, he must maintain involvement with the corporation for no less than 7.5 years. He will also contribute to forming a long-term succession plan for the business he has led for over 20 years. The stock options offered by the updated remuneration deal, alongside shares guaranteed in his previous compensation plan, would result in Musk with a quarter stake of Tesla's shares. By the start of November, Tesla stock was trading near its yearly maximum, at approximately $450 per stock.

Lofty Goals

Over the course of a decade, Musk will be tasked to manufacture 20 million electric vehicles to customers, distribute 10 million active full self-driving subscriptions, produce and launch 1 million advanced androids, and launch 1 million self-driving cabs in commercial service.

Musk will also be required to increase the firm to $400 billion in real profits for a full year. Tesla's real profits for the July-September 2025 were $4.2 billion, a 9% decrease from the previous year.

In November, Musk's net worth was estimated at $460 billion, the highest in the globe, according to wealth indexes.

Reviving a Revoked Deal

Stockholders are furthermore evaluating a proposal that would remunerate Musk after his previous pay package was invalidated by a legal authority in Delaware. The compensation package, worth an estimated $56 billion, was contested by a sole shareholder who prevailed in court. The Delaware court of chancery dismissed Musk's pay package on two occasions. Should investors pass the proposal in the shareholder meeting, Musk is set to be awarded the massive amount regardless of if Tesla and Musk overturn the ruling of the legal matter.

Following Musk's 2018 pay package was originally overturned, he moved Tesla's business registration out of Delaware and into Texas. He repeated the action with the rocket firm and additional corporate bases. In 2024, according to Texas regulations, shareholders once again passed the pay package.

But Delaware's so-called "court of equity" once again rejected one of the largest CEO compensation packages in contemporary business. Following that negative decision, Musk used online platforms to show frustration with the state and its "activist chief judge", perhaps sparking a series of corporate exits that Delaware legislators have sought to curb with regulatory measures.

In evaluating whether Musk had improper sway in being granted that previous compensation plan, a prominent academic expert remarked that the court recognized that other "superstar CEOs" like Meta's Mark Zuckerberg and Amazon's Jeff Bezos were not given this kind of performance-linked deals.
